Terms, in plain words.
A summary of the Website and care agreement every client signs before paying. If the agreement you signed and this page ever differ, the one you signed counts.
01
Who the agreement is with
RightWhere LLC, 1930 Veterans Memorial Hwy, Suite 12, PMB 497, Islandia, NY 11749. The person you deal with is Ray Szczepanski: ray@getrightwhere.com, (631) 469-7815.
Every client reads and signs the full Website and care agreement before paying anything. This page is a summary of it. If the agreement you signed and this page ever differ, the agreement you signed is the one that counts.
02
What is included
RightWhere Launch is $199, once, for one business and one location.
It covers one website, built for phones first, with page titles and descriptions, the business details Google reads (name, address, hours), contact actions, a map or directions, your domain connected, the secure padlock (SSL), and basic analytics when you have it set up.
It includes one focused revision: you send one list of factual and visual changes on the first draft, and RightWhere makes them.
RightWhere builds, launches and looks after the website. You supply accurate business facts, hours, services, your logo and photos, and you approve the draft in writing.
03
What is not included
A new design direction, an extra set of pages or a major rewrite is new work, at a written price agreed before it starts. Extra work always gets a written price first.
No event, room, game, contest or app work. No custom ordering system, customer account system or ongoing social media posting.
No launch date is promised until payment is complete, your intake is complete, the way your listings will be cleaned up is chosen, and the photo visit, if you bought one, is confirmed. After that RightWhere gives you a target date and tells you promptly if it moves.
04
Price and payment
The setup fee is $199. The total due at the start is payable in full before the build or a photo visit is scheduled. Work counts as paid only when the payment provider confirms it, and you get a receipt.
Get Found is an optional extra at $49, charged once. One cleanup pass on the public business details on Google, Apple Maps, and Yelp. You complete any identity or ownership check only you can complete.
Quick Photos is an optional extra at $99, charged once. One nearby 20-minute visit and 12 edited, web-ready images. No RAW files, second visit, or campaign photography.
Prices are stated before any legally required tax. RightWhere sells services and states each line item separately.
If a discount is offered, it applies to the setup fee only. Care is not discounted.
05
Hosting and care
Care is hosting, maintenance, listings work and support for your website and your public business details. You choose one of two tracks.
Hosted care, $99/year. First year included in the setup fee. Hosting of your website, the secure padlock (SSL) kept renewed, backups, security and version updates, uptime checks, and small text, hours, link, and photo changes that fit the existing layout.
Managed care, $49/month. First month included in the setup fee; hosting included. Everything in Hosted care — hosting, the secure padlock (SSL), backups, updates, uptime checks, and small content changes — plus ongoing listings maintenance on Google, Apple Maps, and Yelp, review replies drafted for your approval, photo and content refreshes, and a plain-English monthly report.
06
Automatic renewal, and how to stop it
Hosted care: after the included first year, hosting and care renew automatically at $99 per year until you cancel. Managed care: after the included first month, hosting and care renew automatically at $49 per month until you cancel.
Each charge repeats on the same date at the same price unless RightWhere gives you at least 30 days' written notice of a price change. RightWhere emails you a reminder at least 30 days before every automatic charge.
You can cancel at any time, for any reason, with one click on the cancel button in your client portal. Emailing ray@getrightwhere.com works too. Cancelling takes effect at the end of the period you have already paid for, and you are not charged again.
After you cancel, RightWhere stops hosting the website at the end of the paid period. You keep your domain, your content, your photos and your business accounts, and RightWhere gives you an export of your site content and your images at no charge.
07
Refunds
Before work starts: if you change your mind before RightWhere begins the build and before any photo visit, you get back everything you paid.
After work starts: the setup fee is refunded in proportion to the part of the build not yet done, up to the point the first draft is delivered. After the first draft it is not refundable.
Quick Photos is refundable in full until the visit happens and not after it. Get Found is refundable in full until the change sheet is delivered.
Care is billed for the period ahead. If you cancel part-way through, you keep the service until the period ends; a period already begun is not refunded.
RightWhere may end the agreement with 30 days' notice. If it does, it refunds any care already paid for beyond the end date and hands over an export of your content.
08
Who owns what
You own your domain, your business name, your content, your photographs, your customer data and your Google, Apple, Yelp and social accounts. They stay registered in your name. RightWhere never takes ownership of any of them, including when the agreement ends.
On the website itself, the content and the images are yours, and the delivered site files are yours to keep and to host anywhere, with or without RightWhere. RightWhere keeps its own reusable design system and code templates and uses them for other clients.
09
Access to your accounts
RightWhere never asks you to send a password by text or email.
Where temporary access is needed, it is a role-based invitation that you issue and can remove, and RightWhere removes itself when the work is done. The identity and ownership checks on Google, Apple and Yelp are yours to complete, because only the business owner can.
10
No promise about search rankings
RightWhere does not guarantee a Google ranking, a directory approval, how fast a page is indexed, reviews, or a particular position in search results.
Get Found is one cleanup pass on your public details, not continuing listing management.
11
Liability
RightWhere is responsible for doing the work with reasonable care and skill.
It is not responsible for outages or changes at third parties such as Google, Apple, Yelp, your domain registrar or the hosting network, for the accuracy of facts you supply, or for lost profits.
RightWhere's total liability under the agreement is limited to the amount you paid RightWhere in the twelve months before the claim.
12
Signing and records
The agreement is signed electronically: your typed name and your click on the Sign button count the same as a signature by hand. You can ask for a paper copy at any time at no charge.
RightWhere keeps a record of the signing and a PDF copy, emails the copy to you, and keeps both for the life of the relationship plus six years.
13
Governing law
The agreement is governed by the laws of the State of New York, and any dispute belongs in the state or federal courts sitting in Suffolk County, New York.
The signed agreement is the whole agreement about the work and replaces anything said in conversation. Changes must be in writing and agreed by both sides. If any part of it cannot be enforced, the rest still stands.
